1. Acceptance of Terms

By accessing or purchasing from blumdirectusa.com, you agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use this website or place an order.

2. Products & Availability

All products are subject to availability. Blum Direct reserves the right to limit quantities, discontinue products, modify product specifications, or make changes to product offerings without prior notice.

Product images, descriptions, specifications, dimensions, colors, and other information are provided for general informational purposes and may vary from actual products due to manufacturer updates, production changes, or other circumstances.

If a material product substitution becomes necessary, Blum Direct may contact the customer for approval before shipment.

3. Pricing & Payment

Prices are listed in U.S. dollars and are subject to change without notice. Payment is due in full at the time of order unless a net terms agreement has been established in writing and signed by an authorized representative of Blum Direct.

Blum Direct reserves the right to correct pricing, product, or listing errors. If an order was placed using an incorrect price or material listing error, Blum Direct may cancel the order and issue a full refund.

4. Order Acceptance & Right to Cancel

Submission of an order does not constitute a binding contract until the order has been accepted and confirmed by Blum Direct.

Blum Direct reserves the right to refuse, cancel, or limit any order for any reason, including but not limited to suspected fraud, pricing or listing errors, product unavailability, manufacturer restrictions, shipping restrictions, geographic limitations, or compliance concerns.

If an order is cancelled after payment has been received, Blum Direct will issue a refund of the amount paid for the cancelled order.

For freight, oversized, special-order, or manufacturer-direct shipments, Blum Direct may contact the customer to confirm shipping information, delivery requirements, access conditions, unloading capabilities, or other information necessary to complete the order.

5. Shipping & Freight Policy

All orders are subject to our Shipping Policy, which is incorporated into these Terms by reference.

Shipping and delivery timelines are estimates only and are not guaranteed. Blum Direct is not responsible for delays caused by carriers, manufacturers, weather, natural disasters, labor disruptions, transportation interruptions, incorrect or incomplete delivery information, or other circumstances outside of Blum Direct's reasonable control.

For freight deliveries, the customer is responsible for providing a suitable delivery location and ensuring that the location is accessible to the applicable freight carrier. Unless expressly stated otherwise in writing, the customer is responsible for unloading the shipment and providing any required equipment or personnel, such as a forklift, crane, loading dock, or other unloading equipment.

Liftgate service is not guaranteed unless specifically included in the order or expressly confirmed in writing.

The customer is responsible for inspecting freight shipments upon delivery and documenting any visible damage on the delivery receipt or bill of lading before accepting the shipment whenever reasonably possible. Customers should photograph the shipment and any visible damage.

Failure to properly document freight damage may affect the ability to pursue a carrier damage claim.

For shipments that are refused, returned, re-delivered, or incur additional carrier charges due to circumstances attributable to the customer, including but not limited to incorrect delivery information, inability to receive the shipment, lack of required unloading equipment, or refusal of an otherwise conforming shipment, the customer may be responsible for applicable additional freight, storage, redelivery, return, or other carrier charges.

Risk of loss and responsibility for the shipment transfer in accordance with applicable law and the shipping terms applicable to the order.

6. Returns, Refunds & Cancellations

All returns and refunds are subject to our Return & Refund Policy, which is incorporated into these Terms by reference.

Returns require prior written authorization from Blum Direct. Unauthorized returns may be refused or returned to the customer at the customer's expense.

Unless otherwise required by applicable law or expressly stated in writing, the buyer is responsible for return shipping costs.

Certain products may be designated as final sale and non-returnable, including but not limited to oversized freight products, heavy equipment, special-order products, custom products, manufacturer-direct products, products ordered specifically for a customer, and products that cannot reasonably be returned to inventory.

For eligible returns, Blum Direct may deduct applicable return freight costs, restocking fees, handling charges, or other reasonable costs associated with the return when permitted by the applicable Return & Refund Policy.

A product that is non-returnable under this section may still be covered by an applicable manufacturer's warranty.

7. Freight Damage & Product Inspection

Customers receiving freight shipments should inspect the shipment for visible damage at the time of delivery.

If visible damage is present, the customer should note the damage on the carrier's delivery receipt or bill of lading before signing for the shipment and should take photographs of the damaged packaging and product.

Customers should notify Blum Direct in writing as soon as reasonably possible after discovering shipping damage and provide photographs and other requested documentation.

Carrier damage claims may be subject to carrier-specific deadlines and documentation requirements. Blum Direct will reasonably assist with the applicable claim process but is not responsible for damage caused by the carrier beyond its obligations under applicable law.

8. Manufacturer Warranties

Products may be covered by a manufacturer's warranty. Any applicable manufacturer's warranty is provided by the manufacturer and is subject to that manufacturer's warranty terms, conditions, coverage limitations, exclusions, and claim procedures.

For Cummins products, any applicable Cummins manufacturer's limited warranty is subject to the applicable Cummins warranty terms and requirements. Blum Direct does not modify, extend, or provide a separate Cummins manufacturer's warranty unless expressly stated in writing.

Where applicable, Blum Direct may assist customers with warranty coordination or direct customers to an authorized manufacturer service provider for inspection, diagnosis, repair, or warranty claim processing.

Except for warranties expressly provided by Blum Direct in writing, and to the fullest extent permitted by applicable law, Blum Direct disclaims warranties that it does not expressly provide, including implied warranties of merchantability and fitness for a particular purpose.

Nothing in these Terms is intended to exclude or limit a manufacturer's warranty that applies to a product or any rights that cannot legally be excluded or limited.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Blum Direct's total liability arising from or relating to a product or order shall not exceed the amount actually paid to Blum Direct for the specific product giving rise to the claim.

To the fullest extent permitted by law, Blum Direct shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, business interruption, loss of use, or similar damages.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising from or relating to these Terms, an order, or a transaction with Blum Direct shall be resolved through binding arbitration in Los Angeles County, California, rather than in court.

To the extent permitted by applicable law, the parties waive the right to a jury trial and agree that claims may not be brought as a class action.

Nothing in this section prevents either party from seeking relief in a court where such relief cannot legally be required to proceed through arbitration.

11. Changes to Terms

Blum Direct reserves the right to update or modify these Terms of Service at any time. Updated Terms will be posted on this website with the revised "Last updated" date.

Changes will apply prospectively to orders placed after the updated Terms are posted, unless otherwise required by applicable law.
